These Terms of Service ("Terms") govern your access to and use of RealWeb.ai, a product of MindExact S Corp ("Company", "we", "us", or "our"). By accessing or using our platform and services (collectively, the "Services"), you agree to be bound by these Terms.
By creating an account or using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access or security breach.
You may close your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion, with or without notice.
Access to our Services requires a paid subscription. Current pricing is available on our website. We reserve the right to change pricing with 30 days' notice.
Certain features incur usage-based charges beyond included quotas, including but not limited to:
Current overage rates, including the current transaction-based fee on purchases, are published on our pricing page. Those rates may change from time to time. Any such change may reduce fees or increase fees, and updated rates will apply only after we provide notice by updating our pricing page, through the Services, by email, or by another reasonable method.
Subscription fees are billed in advance on a monthly basis. Usage-based charges are billed in arrears. All fees are non-refundable except as required by law or expressly stated in these Terms.
Payments are processed by third-party payment processors (such as Stripe). By providing payment information, you authorize us to charge your payment method for all fees due.
If payment fails, we may suspend access to your account until payment is received. We may retry failed payments and may charge applicable late fees.
You retain all rights to content you create, upload, or publish through our Services ("Your Content"). We do not claim ownership of Your Content.
By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and distribute Your Content solely to provide the Services to you and your end users.
You are solely responsible for Your Content and the consequences of publishing it. You represent that you have all necessary rights to Your Content and that it does not violate any third-party rights or applicable laws.
You may not upload, post, or transmit content that:
You are responsible for ensuring your use of the Services complies with all applicable laws, including consumer protection, privacy, tax, and intellectual property laws.
You are solely responsible for your relationship with your end users (students, customers, members). This includes handling customer support, refunds, and disputes related to your products and services.
You are responsible for determining and collecting any applicable taxes on your sales. We do not provide tax advice.
If you collect personal information from your end users, you must maintain a privacy policy that complies with applicable laws and accurately describes your data practices.
Our Services allow you to connect third-party services including email providers (Mailgun, AWS SES, SMTP) and AI services (OpenAI). When using these integrations:
The Services, including all software, designs, text, graphics, and other content provided by us, are owned by MindExact S Corp and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.
If you provide feedback, suggestions, or ideas about our Services, we may use them without restriction or compensation to you.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee any specific results from using the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDEXACT S CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless MindExact S Corp, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
We may modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of material changes when possible. We are not liable for any modification, suspension, or discontinuation of the Services.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MindExact S Corp regarding the Services.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
